1.1 Project Momentum & Billing Trigger.
To ensure efficient resource allocation, all website projects move to a paid hosting and maintenance status upon the earliest of:
a. The date the website is published ("Go-Live"); or
b. Ninety (90) days from the date the Proposal/SOW was signed.
Client acknowledges that even if a site is not live due to delayed Client approvals or content delivery, the Agency is still utilizing server resources and maintaining the staging environment.
1.2 Stalled Projects.
If a project remains in the "Development" or "Revision" stage for more than six (6) months due to Client inaction, Agency reserves the right to archive the project. A "Restart Fee" may apply to move the project back into the active production queue.
Agency provides tiered hosting based on website size (page count) and platform. All plans include daily backups, plugin/theme updates, and Agency-level licenses for active tools.

TF360 (SaaS) Hosting
a. Nature of Service: TF360 hosting is a SaaS (Software as a Service) subscription. It includes access to the TF360 platform, CRM tools, forms, workflows, and chat widgets.
b. Maintenance: Includes 30 minutes of monthly maintenance. Requests are submitted via the Maintenance Form.
c. Overages: Additional maintenance is billed at a discounted hourly rate (Client must approve estimates in writing prior to work commencing).
2.1 Maintenance Requests.
All requests must be submitted via the Official Maintenance Form. Work will not commence on requests sent via text, phone call, or direct email to staff.
2.2 Maintenance Turnaround & Approval Process
a. Service Tiers Defined:
i. Standard Turnaround (14 Business Days): Applies to TF360 and WordPress Basic maintenance plans.
ii. Priority Turnaround (4 Business Days): Applies to WordPress Pro maintenance plans.
b. The "Approval Trigger":
Turnaround times do not begin upon the submission of the Maintenance Request Form. The turnaround clock commences only after the Client has provided written approval of the Agency’s time/cost estimate for the request. If Client approval is not received, the work will not be scheduled or performed.
c. Complexity Adjustments:
The turnaround times listed above are for "standard" maintenance tasks (e.g., photo swaps, text edits, plugin troubleshooting). For complex requests (e.g., custom coding, issue investigation, or major structural changes), Agency will provide a revised timeline as part of the estimate. New pages require a proposal and are not included in website maintenance.
d. Maintenance Hour Caps:
i. Included monthly maintenance minutes (30 mins) do not "roll over" to the next month if unused, unless otherwise stated in the Proposal.
ii. Any work exceeding the included 30 minutes will be billed at the plan's respective standard or discounted rate as noted in the tier table above.
3.1 Ownership.
Client maintains sole ownership and financial responsibility for their domain names. Agency does not "manage" domains or renewals unless the domain was purchased by the Agency on the Client's behalf (in which case Client is rebilled for purchases and/or renewals).
3.2 DNS Credentials.
While Agency may request temporary access to connect a site to a domain, Agency does not retain or store these credentials. Management of DNS records, MX records (email), and domain security is the Client's sole responsibility. Agency does not offer domain management as a service.
3.3 Squarespace Transfer Restriction.
Agency will not facilitate the "Ownership Transfer" of a domain to a Squarespace account. Due to platform limitations regarding payment data security and transfer finality, Agency will only transfer domains to third-party providers (e.g., GoDaddy, NameCheap, etc.).
4.1 Creative Architecture.
The visual layout, custom CSS, and specific "Build Logic" of the website are the intellectual property of ThriveFuel.
4.2 Anti-Cloning Provision.
Client is strictly prohibited from hiring third parties to "scrape," "mirror," or rebuild a near-identical version of the website on another server using the Agency’s proprietary content, custom graphics, or photography. To do so is a violation of copyright and licensing.
4.3 Stock Photography and Video.
Stock assets are licensed to ThriveFuel. Upon termination of hosting, all Agency-provided stock photography and/or video must be removed from the website within thirty (30) days. Continued use of these assets on a non-ThriveFuel server constitutes a licensing violation.
5.1 Cancellation Notice.
Disconnecting a domain or "pointing" it elsewhere does not constitute a cancellation of service. Billing continues until a formal written notice is received as per the Master Terms.
5.2 WordPress Transfers.
a. Deliverable: Upon termination, Agency will provide a ZIP file containing the website files and database.
b. Agency Licenses: All Agency-funded plugin licenses (e.g., Elementor Pro, AIO SEO) will be deactivated. Client is responsible for purchasing their own licenses to maintain site functionality.
c. Excluded Assets: TF360 forms, workflows, and "Single-Page" WordPress landing pages are non-transferable and remain Agency property.
d. No Migration Support: Agency does not provide labor for the setup, migration, or troubleshooting of the site on a new host.
5.3 Legacy Accelerator Digital Media Accounts.
a. Non-Transferability: Notwithstanding Section 5.2, Client acknowledges that WordPress websites originally developed or purchased through Accelerator Digital Media (acquired by ThriveFuel in 2021) are non-transferable.
b. Ownership: These legacy websites and their underlying architecture remain the exclusive property of ThriveFuel. Upon termination of hosting services for a legacy Accelerator account, the website will be decommissioned and will not be provided to the Client or a third-party host via ZIP file or any other format.
5.4 TF360/SaaS Transfers.
TF360 websites and funnels are non-transferable SaaS products. Only raw data (contacts/leads) may be exported.
5.5 Post-Termination Backups.
Agency maintains a site backup for 90 days post-cancellation. After 90 days, files are permanently deleted and cannot be recovered.
