Agency provides Client access to TF360, a proprietary platform.
a. License Grant: Access is provided on a subscription basis. Client is granted a non-exclusive, non-transferable license to use the platform for internal business operations.
b. Platform Uptime: While Agency utilizes industry-leading infrastructure, Agency does not guarantee 100% uptime and is not liable for service interruptions caused by the primary software provider or third-party utility providers.
To facilitate automated services (including but not limited to SMS, Email, Phone Number hosting, Content AI, and Workflow triggers), TF360 utilizes a "Wallet" system.
a. Mandatory Payment Method: Client acknowledges and agrees that a valid credit card must be connected directly to their TF360 sub-account at all times to fund the "Wallet."
b. Auto-Recharge Authorization: Client authorizes an automatic recharge of the linked payment method whenever the Wallet balance falls below the platform-defined threshold.
c. Minimum Threshold: The default minimum auto-recharge is $25.00, as dictated by platform requirements. This amount is subject to change based on Client’s usage volume or third-party carrier adjustments.
d. Usage Responsibility: Client is solely responsible for all charges incurred through their sub-account. This includes charges initiated by Client’s staff, as well as those triggered by automated workflows, AI agents, or inbound communications.
e. Service Interruption: Client acknowledges that if a credit card is not linked, or if a payment fails, the "Wallet" will reach a zero balance and all automated services (including lead notifications and AI responses) will cease to function immediately. Agency is not liable for lost leads or business interruptions resulting from an unfunded Wallet.
For Clients utilizing AI Agents for customer service, lead qualification, or content generation:
a. "As-Is" Performance: AI Agents are provided as tools to assist in business operations. While Agency optimizes AI logic for accuracy, AI is capable of generating "hallucinations" (factually incorrect or nonsensical responses).
b. Vetting Responsibility: Client is responsible for the final oversight of AI interactions. Agency is not liable for any damages, loss of reputation, or incorrect information provided by an AI Agent to a third party.
c. Usage Costs: AI-driven actions (e.g., AI-generated SMS or chatbot responses) incur additional "Wallet" costs per execution.
Lead Flow Campaigns represent a bundled service of Programmatic Advertising (Schedule D) and TF360 SaaS (Schedule B).
a. Integrated Strategy: Lead Flow includes the creation of landing pages, funnels, and lead-nurturing workflows within a TF360 sub-account.
b. Cancellation Split: If a Client cancels the "Management" portion of a Lead Flow Campaign but wishes to keep their lead data, the account will revert to a SaaS-only subscription. The Client will remain responsible for the monthly SaaS fee and all Wallet charges.
5.1 Immediate Actions Upon Cancellation. Upon receipt of a formal cancellation notice:
a. Sub-Account Pausing: The TF360 sub-account will be placed in a "Paused" state, and Client access will be revoked at the end of the final paid billing cycle.
b. Third-Party Subscription Termination: Agency will immediately terminate all Agency-funded subscriptions associated with the sub-account, including but not limited to directory listings, dedicated domains, and A2P phone numbers.
c. Domain Disconnection: Any website, landing page, or funnel connected to the Client’s domain or subdomain will be disconnected immediately.
5.2 The 6-Month Retention Window.
a. Archival Period: Agency will maintain the paused sub-account within the Agency’s master account for a period of six (6) months (180 days) from the date of cancellation as a courtesy for returning clients.
b. Final Deletion: On the 181st day, the sub-account and all associated data—including workflows, forms, funnels, and communication history—will be permanently deleted. This action is irreversible.
5.3 Client Responsibility for Data Export.
a. Self-Service Requirement: Client is solely responsible for exporting their CRM assets (contacts, lead lists, etc.) and communication history prior to the end of their final paid service period.
b. No Agency Export Services: Agency does not perform data exports, nor does Agency save or archive websites, funnels, or workflows for canceled accounts. Once access is revoked, Agency is not obligated to retrieve or provide any data to the Client.
5.4 SaaS "Tail" Charges & Wallet Balance.
For SaaS-only sub-accounts, the "Wallet" balance will remain active within the paused account.
a. Lingering Charges: This balance will be utilized to cover any "tail" charges incurred during the final billing cycle (e.g., delayed carrier fees for SMS or final AI processing).
b. Balance Forfeiture: Remaining Wallet balances are non-refundable and will be purged upon the final deletion of the sub-account after the 6-month retention period.
