1.1 Ownership of Final Edits.
a. Commissioned Video: Client owns the "Final Edit" of any video for which they have paid a specific production fee or purchased as a standalone project.
b. Legacy Packages: Clients on legacy "Bundled" packages that included quarterly video production own the Final Edit of videos created during their active subscription period, provided all fees were paid in full.
c. Performance-Driven Video (Agency Property): Agency frequently creates short-form video assets (e.g., Meta Reels, TikTok-style ads) specifically to optimize ad campaign performance. These assets are created at the Agency’s discretion and expense. These videos remain the sole property of the Agency and may not be used, downloaded, or repurposed by the Client outside of Agency-managed campaigns without a separate licensing agreement.
1.2 Media Requirements for OTT/CTV/Pre-Roll.
To execute campaigns on high-definition programmatic platforms (OTT, CTV, etc.), Client must either:
a. Purchase a Video Production Service from the Agency to create a compliant asset; or
b. Supply a video asset in a ready-to-use, high-resolution format that meets the specific technical specifications of the platform.
1.3 Production Terms.
a. Review Cycles: Video projects include two (2) rounds of revisions unless otherwise stated in the Proposal.
b. Raw Footage: Agency retains ownership of all raw footage and project files. Only the Final Edit is delivered. Requesting raw footage may incur an additional "Asset Release" fee. The exception is drone footage. Raw footage acquired using our Drone Service is included in the service charge.
2.1 Commissioned Design. For standalone design projects (Logos, Brand Identity), Client owns the final flattened designs upon full payment.
2.2 Managed Ad Creatives (Agency Property). As part of ongoing campaign management (Google Display, Meta, etc.), Agency creates static and display creatives to drive results.
a. Ownership: These creatives are considered "Agency Tools" and remain the exclusive property of the Agency.
b. Restrictions: Client may not use, edit, or distribute these creatives on other platforms or through other agencies without express written permission from ThriveFuel.
2.3 AI-Enhanced Creative Production. Agency utilizes professional Artificial Intelligence (AI) tools to assist in the generation and enhancement of graphic and video assets.
a. The Human Touch: All AI-generated visual elements are meticulously reviewed, edited, and refined by Agency’s design professionals.
b. Quality Assurance: Agency staff ensures that final assets are unique, high-resolution, and strictly aligned with the Client’s brand identity before deployment.
3.1 The "As-Is" Approval Rule. For all deliverables—including but not limited to custom content, blogs, ad copy, graphics, and video scripts/voiceovers—Client is provided with an opportunity to review, proofread, and request revisions.
a. Final Approval: Once Client provides approval (via email, project management platform, or verbal authorization), the deliverable is deemed accepted "as-is."
b. Agency Release: Following Client approval, Agency is not responsible for any errors, including but not limited to:
- Spelling, punctuation, or grammatical mistakes.
- Misinformation or technical inaccuracies.
- Incorrect dates, pricing, or contact information.
- Mispronunciations or errors in video voiceovers or on-screen text.
c. Post-Approval Liability: If the content is published, printed, or deployed after Client approval and is found to contain errors, Agency is not liable for any damages, loss of reputation, or reprinting/reproduction costs.
4.1 Fact-Checking Responsibility. While Agency performs industry research to produce high-quality copy, Client is the subject matter expert. Client is solely responsible for verifying the factual accuracy of all claims, technical specifications, and legal compliance within their specific industry before granting final approval.
4.2 AI-Assisted Content Generation. Agency utilizes advanced AI technology to assist in the drafting of various content types (including blogs, social posts, GBP updates, and website copy).
a. The Human Touch: All AI-generated drafts undergo a rigorous editorial process. ThriveFuel’s professional writers proof, edit, and reorganize content to ensure it is unique, stylistically consistent, and tailored to the Client's specific marketing goals.
b. Quality Assurance: Agency utilizes AI as a tool to improve efficiency and research, but final deliverables are human-verified to meet ThriveFuel’s standards for uniqueness and quality.
a. Strategic Advice: Consulting hours (Marketing Strategy, Account Management) are billed as incurred, as a monthly retainer, or as a part of a subscription service.
b. Third-Party Coordination: If Agency is asked to manage or coordinate with Client’s other third-party vendors (e.g., a separate PR firm or IT company), this time is billed as "Project Management" at the standard consulting rate.
a. Limitation of Results: Agency provides the tools and strategy to promote events. However, Agency is not responsible for event attendance, ticket sales volume, or weather-related outcomes.
