Schedule C: Organic Content and SEO

1. Quarterly Fulfillment Sprints

Work is performed in quarterly "sprints" to ensure consistency.

a. The Onboarding Month (First 30 Days): Upon payment of the Setup Fee, Agency will utilize the first 30 days to create and schedule assets for the current or nearest calendar quarter.

i. No Retroactive Fulfillment: If a Client joins mid-quarter, Agency will not provide "backfilled" assets for the portion of the quarter that has already elapsed.

b. Production Triggers: Work for the next quarter officially begins forty-five (45) days prior to the first day of the new quarter (approximately February 15th, May 15th, August 15th, and November 15th).

c. Commitment: Cancellation notice must be received before the 45-day Production Trigger to avoid financial commitment to the upcoming quarter’s labor. Once the trigger date passes, the next quarter’s production is deemed "active" and non-refundable.

2. Termination and the "Production Trigger"

To avoid being billed for a new quarter of production, Client must cancel before the next Production Trigger date.

a. Cancellation Example: If a Client wishes to stop service at the end of Q2 (June 30), they must provide notice before May 15th. Once June 1st passes, Agency has commenced labor for Q3, and Client is financially committed to the Q3 production cycle.

b. The "Burn" Policy: Upon termination, any assets scheduled for future months for which the Client has not completed the full quarterly payment cycle will be unscheduled and deleted. Client may "buy out" these assets by paying the remaining subscription fees for that production cycle in a lump sum.

3. Client Approvals & Deployment

Agency utilizes a third-party posting platform to manage organic social media content.

a. Approval Process: For organic social media services, Client will be provided with an approval link. It is the Client’s sole responsibility to review and approve scheduled posts prior to their deployment date.

b. Unapproved Content: If a Client fails to approve a post by the scheduled time, the platform will automatically skip that post. The post will not be published, and it will not be automatically rescheduled.

c. No Refunds for Missed Posts: Because the Agency’s fee covers the labor of strategy, creation, and scheduling, no refunds, credits, or prorated adjustments will be issued for posts that are skipped due to lack of Client approval.

4. Support Hours & Revisions

To maintain efficient fulfillment cycles and keep subscription costs competitive, Agency limits the amount of administrative and consulting time allocated to each account.

a. Quarterly Allocation: Organic social media subscriptions include up to two (2) hours of Customer Service per calendar quarter, unless otherwise stated in the Proposal.

b. Included Services: This allocation covers all client-directed revisions to social strategy, planned posts, unscheduled consulting calls, strategy meetings, and extended email/follow-up correspondence.

c. Overage Billing: Any time spent by Agency staff on these tasks exceeding two (2) hours per quarter will be billed at the current Agency rate, billed in 15-minute increments.

d. Usage Tracking: Agency tracks these hours internally. While Agency will make a reasonable effort to notify Client when they are nearing their cap, it is the Client’s responsibility to manage their revision requests and meeting times.

5. Strategic Content for SEO

5.1 Technical SEO Posts (GBP): To ensure maximum technical efficacy, Google Business Profile (GBP) posts are managed at the Agency’s discretion and do not require prior Client approval. These are strategic assets designed for algorithmic optimization.

5.2 GBP Verification & Compliance.

a. Verification Prerequisite: Client acknowledges that active verification is required for all GBP features. During the "Setup" stage, Agency cannot complete profile optimization until verification is finalized.

b. The "Skip" Policy: If a profile requires verification, re-verification, or is suspended, any scheduled posts will be skipped by the platform. These posts are not automatically rescheduled once verification is restored.

c. Responsibility for Execution: Agency will provide detailed instructions and guidance to the Client regarding Google’s verification requirements (e.g., video verification, postcard, or phone). However, the sole responsibility for completing the verification steps lies with the Client.

d. Re-verification Triggers: Google may require re-verification at any time. Client acknowledges that this is often triggered by standard profile optimizations performed by the Agency or specific changes requested by the Client. Agency will notify the Client when re-verification is triggered, and Client must act in a timely manner to restore service.

e. Irremediable Verification Failure: In rare instances, Google may repeatedly deny verification despite the Agency's best efforts. If Agency exhausts all available support and appeal avenues without success, Agency will notify the Client and cancel the ongoing GBP management service.

f. Non-Refundable Creation/Optimization Fees: For "one-time" GBP creation or optimization projects, if verification is ultimately denied by Google (through no fault of the Agency), no refunds will be issued. Client acknowledges that the service fee covers the extensive labor, monitoring, and management required to attempt the verification process through all available channels.
